SWSOrder B2B SaaS terms

Text updated on 20 October 2026 · 0.3.11-indexable.

1. Provider and scope

SWSOrder is a product of Swiss Web Studio – Ivo Protrkic. Content responsibility: Ivo Protrkic. Via San Jorio 15, 6600 Locarno, Switzerland. Email: info@swisswebstudio.com. Phone: +41 79 197 44 59. Website: https://swisswebstudio.com.

2. Offer and contract

The customer receives an offer identifying services, locations, any separate costs and the versions of terms and schedules. A contract requires documented acceptance. Documented specific agreements prevail for the matters they cover. Visiting the site or requesting a demo creates no contract or charges. General terms for other Swiss Web Studio services do not automatically apply to SWSOrder.

3. Services

Only services expressly described in the offer and service schedule are included: configuration, businesses and locations, menu, languages, import, training and integrations where agreed. The schedule also defines hosting, maintenance, updates and backups where included. The demo alone is neither a contractual specification nor evidence that a production configuration operates. Unlimited quantities or economic results are not promised.

4. Launch and cooperation

The customer supplies content, permissions and contacts and participates in agreed checks. It confirms menus, prices, options, hours, service areas and business information. The documented launch of its service starts subscription fees and the term; it is not publication of the marketing website or access to the demo. Launch requirements and checks are set out in the offer.

5. Prices and payment

One-off activation: CHF 1’790, paid in full upfront to start work. Subscription: CHF 299 per month from launch. Prices exclude VAT. Activation plus the first 12 months total CHF 5’378 excluding VAT, before extras. Fees are paid monthly, without prepaying the whole year. Monthly invoice due dates and payment methods are agreed in the offer before engagement.

6. Term, renewal and termination notice

Initial term: 12 months from the restaurant service’s documented go-live date. The contract renews automatically for further 12-month periods, with payments remaining monthly, unless cancelled with at least 3 calendar months’ notice before the end of the current 12-month contractual period. Monthly payment does not mean monthly cancellation. The start, period end, notice deadline and method of notice are recorded in the agreement before activation. Statutory termination rights remain reserved.

7. Included support and extras

The subscription includes support for bugs and functional problems in the service provided. The customer describes the issue and supplies necessary technical information without irrelevant personal data. Channels and hours are stated in the service schedule; 24/7 support, guaranteed times or SLAs are not promised. Customisations, new functions and requests beyond the agreed scope require a separate quotation accepted before work starts. Reporting an issue does not authorise extra charges.

8. Hardware and payments

Devices, printers, terminals and hardware configuration are included only when expressly specified in the offer, with purchase, support and warranty terms. Compatibility and payment integrations require specific checks. Providers, contracts, fees, transactions and refunds are defined before activation. Hardware and third-party costs are not presumed included, and zero commissions are not presumed.

9. Restaurant role

The restaurant sells the meals and organises preparation, collection, delivery and consumer service. It keeps information including ingredients, allergens, prices and sales terms accurate and current and handles cancellations and refunds. The parties check that the agreed ordering flow can display required information before the order. This allocation does not remove Swiss Web Studio’s responsibility for its own technical services.

10. Access, content and software

The customer gives access only to authorised people, protects credentials and reports suspected abuse. Its content remains its own or its owners’ property and is used only as necessary for the service. The subscription grants software use within the agreed scope and term. Setup and fees do not automatically transfer source code or software ownership; specific developments and third-party licences follow their own agreements.

11. Data and confidentiality

Each party meets the duties of its role. Before real orders, a processing agreement must document instructions, security, providers, countries, incidents, assistance, export and deletion. These terms do not replace it or give general consent to data use. Non-public information is used to perform the relationship and made available to people who need it, subject to legal obligations.

12. Continuity and acceptance checks

Agreed services are performed with due care; maintenance, incidents and external components may affect operation. Availability levels, backup frequency and restore times are guaranteed only if specifically agreed. The parties define checks and procedures for missing or uncertain orders. Increased orders, revenue or search rankings are not guaranteed.

13. Overdue payments and closure

Overdue amounts are communicated and handled under the agreement and law; this draft introduces no automatic penalties or suspensions. On termination, access closure and data are handled under the schedules. Export formats, deadlines, migration and deletion must be settled before service begins. Termination neither transfers the software nor removes the customer’s rights to its own data.

14. Liability and version

Each party is liable under law for its services and attributable breaches; mandatory liability and rights remain unaffected. No monetary liability cap is introduced. The version identified at acceptance applies: publishing changes alone does not change existing contracts. The draft is based on Swiss law, subject to mandatory rules, and introduces no specific jurisdiction without agreement. Proposed version: SWSOrder SaaS Terms 1.0, 18 October 2026.
